Dashboard Terms of Service (Public Offer)

The owner and administrator of the service (hereinafter, the “Administrator”) is FOP Ilchuk Viktor Vasylovych, EDRPOU/Individual Tax Number 2854018552, address: apt. 25, 14-D Voskresenska St., Kyiv, 02130. The service consists of the website https://dashboard.ibms.com.ua (hereinafter, the “Website”), the Dashboard software product delivered under the SaaS model (hereinafter, the “Service”), and the API application programming interface.

Dashboard is designed to collect and visualize a company’s KPIs and business metrics. It runs directly in the browser on PCs, tablets, and smartphones, with no separate app required. Data is transmitted over HTTPS; the retrieved metrics are not stored and are used only for online display.

By using the Service, you (hereinafter, the “User”) accept these Terms. If you do not agree, stop using the Service.

1. Key Provisions (How It Works)

  1. Access to the Service is provided on a subscription basis according to the selected plan. Current plans and their descriptions are published on the page https://dashboard.ibms.com.ua/pricing and may be updated.
  2. The Administrator may amend these Terms; the version published on the Website is the one in effect.

2. License to Use

We grant you a non-exclusive, non-transferable right, limited by these Terms, to access and use the Service and the API for the internal business purposes of your organization.

3. Access, Account, and Security

  • You are responsible for keeping your login and password confidential. If you suspect they have been compromised, notify the Administrator immediately.
  • It is prohibited to circumvent security measures, gain unauthorized access, reverse engineer the Service, or take any action that disrupts the Service or violates the rights of others.
  • The Service is intended for lawful use and may not be used to host or transmit content that violates the law.

4. Payment and Plans

  • The prices and features of the plans are listed on the page https://dashboard.ibms.com.ua/pricing; that page is the source of current information on prices and limits. We do not fix prices in this document to avoid outdated information.
  • Payment is made in advance for the selected period (month/year) using the payment methods indicated on the Website/invoices. In the event of non-payment or a charge error, access to paid features may be suspended until the issue is resolved.

5. Refunds

  • No refunds are issued if the services were provided within the paid plan.
  • You may submit a refund request within 14 calendar days of payment only if the services were not actually provided in accordance with the plan terms (subject to the requirements of Ukrainian law).

6. Confidentiality and Personal Data

  • “Confidential Information” means any information the Parties have received from each other under these Terms, except information that: has become publicly available through no fault of the recipient; was provided by a third party on lawful grounds; was already known without restriction; or was independently developed.
  • The Parties undertake not to disclose Confidential Information and to use it solely for the purpose of performing these Terms, except as expressly required by law.
  • The processing of personal data and the use of cookies are governed by the Privacy and Cookie Policy published on the Website.

7. Data, Connections, and Storage

  • Data is transmitted over the secure HTTPS protocol.
  • The retrieved metrics are used for instant display in dashboards and are not stored in the Service.
  • You are solely responsible for backing up your data sources and integration settings.

8. Intellectual Property Rights

  • The rights to the Service, software code, design, documentation, and other IP assets belong to the Administrator and/or its licensors.
  • The rights to your data remain with you. By providing data for visualization, you warrant that you have the necessary rights and permissions.

9. Warranties and Liability

  • The Service is provided “as is” without any express or implied warranties of fitness, continuity, or freedom from errors. Its operation may be affected by factors beyond our control (communication networks, the Internet, etc.).
  • You are solely responsible for assessing whether the Service meets your business needs.
  • To the maximum extent permitted by law, the Administrator is not liable for any direct or indirect losses (including loss of data, profits, or savings) arising from the use of or inability to use the Service.
  • If liability nevertheless arises, its aggregate amount for a single incident (or related incidents) is limited to the amount of the last periodic payment made.

10. Termination of Access

  • These Terms remain in effect for as long as you use the Service. Either Party may terminate them with at least 30 calendar days’ notice.
  • We may suspend or terminate access immediately if: these Terms have been breached and the breach has not been remedied within 14 days of notice (if it is remediable); the breach is irremediable (including overdue payment); or the user is insolvent, in bankruptcy proceedings, etc.
  • Termination does not cancel the obligation to pay charges already accrued; payments are non-refundable.

11. Notices, Force Majeure, Assignment

  • Official notices are sent by email: to ilchuk@avsoft.com.ua for the Administrator; for the User, to the email address specified in the profile. A notice is deemed received at the time it is sent.
  • Neither party is liable for delay or non-performance caused by circumstances beyond its reasonable control (force majeure), except for monetary obligations.
  • The User’s rights and obligations may not be transferred to third parties without the Administrator’s written consent.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Ukraine. Disputes shall be resolved exclusively by the courts of Ukraine.

13. Definitions and Interpretation

“Access Fee” means the payment for the use of paid functionality according to the current plans on the page https://dashboard.ibms.com.ua/pricing.

“Confidential Information,” “Data,” “IP Rights,” and “Website” are terms defined in the relevant sections of these Terms.
